1. About these terms
These Terms of Service ("Terms") are an agreement between ICARD LLC, a New York limited liability company ("iCard", "we", "us"), and the business that applies for or uses an iCard account ("you"). They cover the iCard website, the iCard portal, payment pages, the iCard API and related services (the "Services").
The person who accepts these Terms confirms that they are authorized to bind the business. By creating an account or using the Services, you agree to these Terms, our Privacy Policy and our Fees.
2. Payment processing
iCard is a technology platform. Card and bank (ACH) payments are processed by Finix Payments, Inc. ("Finix") and its sponsor banks. See Finix's banking relationships.
During verification you will be asked to accept Finix's merchant terms. Those terms form part of your agreement for processing. If they conflict with these Terms on a processing matter, Finix's terms apply.
You must also follow the rules of the card networks (such as Visa, Mastercard, American Express and Discover) and of Nacha for ACH payments, as they apply to your business.
3. Eligibility and verification
- You must be a business, or a sole proprietor, based in the United States, with a US bank account. The person applying must be at least 18.
- You agree to give true, complete and current information about your business, its owners and what you sell, and to tell us promptly about changes.
- You authorize iCard and Finix to verify your business and its owners. This includes checking identity, business records, sanctions lists and fraud databases, and obtaining consumer or business credit reports. We may ask for documents at any time.
- We may approve or decline an application at our discretion. We may also limit which payment types or amounts you can accept.
4. Prohibited businesses
You may not use the Services for anything illegal, or for any business on Finix's list of prohibited and restricted businesses. Examples include:
- Illegal drugs, drug paraphernalia, and marijuana or CBD products where not allowed.
- Weapons, ammunition or explosives.
- Gambling, lotteries or games of chance.
- Adult content or services.
- Pyramid or multi-level schemes, "get rich quick" offers, and debt collection or credit repair.
- Counterfeit or stolen goods, or goods that infringe someone else's rights.
- Money transmission, cryptocurrency or stored value.
- Payments for another business. This is called "factoring": accepting a payment on behalf of someone who doesn't have their own account.
Restricted businesses need our written approval first. If your business changes, tell us before you take payments for the new activity.
5. Your customers
- Describe what you sell clearly, and charge only the amount your customer agreed to.
- Deliver what you sold, and keep proof of the order and of delivery.
- Show your refund and cancellation policy, and how to contact you, before the customer pays.
- Get your customer's permission before charging a card or bank account, including for repeat or scheduled payments.
- Never ask for, write down or store full card numbers, security codes or bank account numbers. Enter them only in the secure fields iCard provides, which send them straight to our processing partner.
- You are responsible for your own taxes and for the goods and services you sell.
6. Fees
You agree to pay the fees on our Fees page and in your account. Fees are taken out of payments before each payout. If your payouts don't cover what you owe, we may debit your bank account.
We will give you at least 30 days' notice by email or in the portal before any fee increases.
7. Payouts
We send the money you collect, less fees, refunds, disputes and any amounts held, to the bank account you verified.
Payouts normally arrive within one to three business days after a payment clears. Bank (ACH) payments take longer to clear than card payments. Bank holidays, a first payout, risk reviews or a bank's own processing can add time.
You must keep a valid business bank account on file.
8. Refunds, disputes and returns
- Refunds. You may refund a payment in full or in part. A refund goes back to the same card or bank account the customer used. Refund in this way, not by cash or check.
- Disputes (chargebacks). A customer may ask their card issuer to reverse a payment. You are responsible for the disputed amount and any dispute fee. We will tell you about a dispute and give you a chance to send evidence. Card networks and issuers make the final decision.
- ACH returns. A bank payment can be returned after it cleared. Examples are insufficient funds or the account holder saying they did not authorize it. You are responsible for returned amounts and any return fee.
- Excessive disputes. If your disputes, returns or refunds are high, card networks may charge fines or require changes, and you are responsible for those. We may also hold funds or close the account.
9. Holds, reserves and amounts you owe
To protect against losses, we or Finix may delay payouts, hold some or all of your funds, or require a reserve. This may happen because of your business type, a sudden change in volume, high disputes or returns, suspected fraud, or a rule violation. We will tell you why, unless the law or a bank or card network prevents it.
You authorize iCard and Finix to recover what you owe under these Terms. This covers refunds, disputes, returns, fees and fines. We may take it from your payouts or reserve, or debit your verified bank account by ACH. This authorization lasts until everything you owe is paid, even after your account closes.
10. Account security and data
- Keep your passwords and API keys secret, and give team members only the access they need. You are responsible for what happens under your account and keys.
- Tell us right away at hello@icardpayment.com if you think your account or a key is compromised.
- We handle personal information as described in our Privacy Policy. You authorize us to share information about your account, your business, its owners and your payments with Finix, its banks and the card networks. That sharing is for processing, underwriting, fraud prevention and compliance.
- You agree to have your own privacy policy that tells your customers how you use their information, and to follow the privacy and data-security laws that apply to you.
11. Suspension and closing
You may close your account at any time by emailing us. We may suspend or close your account, or stop specific payment types, if:
- you break these Terms or the network rules;
- we see unusual risk, fraud or losses;
- we are told to by Finix, a bank, a card network or the law.
When an account closes, you remain responsible for disputes, returns, refunds and fees on past payments. We may hold funds for up to 180 days, or longer if a bank or network requires it, to cover them. After that we pay out any balance left.
Sections 8, 9, 12, 13 and 15 continue after the account closes.
12. Warranties and liability
We work to keep the Services available and accurate. However, the Services are provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, whether express or implied. That includes merchantability, fitness for a particular purpose and non-infringement.
We are not liable for delays or failures caused by banks, card networks, Finix, internet or power outages, or other events outside our reasonable control.
To the extent the law allows, iCard is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. iCard's total liability for any claim relating to the Services is limited to the fees you paid iCard in the three months before the claim arose.
13. Indemnity
You agree to defend and indemnify iCard, Finix and their affiliates, officers and employees against claims, losses and expenses, including reasonable legal fees. This covers claims arising from your business, your goods or services, your dealings with your customers, your breach of these Terms or the network rules, or your violation of law.
14. Changes
We may update these Terms. If a change is material, we will tell you at least 30 days before it takes effect, by email or in the portal, unless a law or network rule requires a faster change. If you keep using the Services after a change takes effect, you accept it.
15. Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute will be heard in the state or federal courts located in New York, and both sides consent to those courts.
If any part of these Terms is found unenforceable, the rest stays in effect. These Terms, together with the documents they refer to, are the whole agreement between you and iCard about the Services.
